1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between AIRecruitEngine Inc. ("AIRecruitEngine", "we", "our", or "us") and the customer ("Customer", "you", or "your") accessing or using our website, software platform, and autonomous recruitment APIs. By executing an Order Form, signing up for an account, or accessing the services, you agree to be bound by these Terms.
2. Software License & Permitted Use
Subject to compliance with these Terms and payment of applicable fees, AIRecruitEngine grants Customer a non-exclusive, non-transferable, non-sublicensable right to access and use the platform during the subscription term solely for Customer's internal recruitment operations.
3. Acceptable Use Policy & Restrictions
Customer agrees not to:
- Reverse engineer, decompile, or disassemble any aspect of the platform or proprietary AI evaluation algorithms.
- Use the platform to process hiring evaluations in violation of applicable labor, anti-discrimination, or civil rights laws.
- Circumvent rate limits, access controls, or security monitoring mechanisms.
- Scrape or extract candidate profiles using unauthorized automated scripts outside official API endpoints.
4. Customer Data Ownership & AI Privacy
As between the parties, Customer retains all right, title, and interest in and to all data uploaded or ingested into the platform, including job requisitions, candidate resumes, and interview evaluations ("Customer Data"). AIRecruitEngine processes Customer Data strictly to deliver the agreed services and does not use Customer Data to train generalized, publicly available AI models.
5. Human-in-the-Loop & Final Employment Decisions
Customer acknowledges that AIRecruitEngine provides automated evaluation, candidate scoring, and workflow orchestration tools intended to assist hiring professionals. All final employment decisions, including hiring, rejection, compensation offers, and terms of employment, are made solely and independently by Customer's authorized human hiring representatives.
6. Service Availability & Support
AIRecruitEngine provides commercial software support and maintains reasonable enterprise availability as specified in the applicable Service Level Agreement (SLA) incorporated into Customer's Order Form.
7. Limitation of Liability
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to this agreement, regardless of the theory of liability.
8. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
